3. Client Accounts and Service Agreements

3.1 Service Engagement: To engage our professional services, you may need to create an account and execute a separate Service Agreement. You agree to provide accurate, current, and complete business information during the engagement process and to update it as necessary.

3.2 Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to notify us immediately at hello(at)aibloom.co if you suspect unauthorized use of your account.

You agree to: Provide accurate business information necessary for effective AI implementation, Cooperate with our implementation processes and timelines, Use implemented AI tools and systems in accordance with their respective terms of service, and Maintain appropriate data security practices as recommended.

4.2 Client Responsibilities: You are responsible for Ensuring your team receives and participates in provided training, Maintaining necessary business licenses and regulatory compliance, Providing timely feedback during implementation phases, and Securing appropriate internal approvals for AI system implementations.

4.3 Prohibited Conduct: You may not Reverse engineer, copy, or resell our implementation methodologies, Share proprietary implementation strategies with competitors, or Use our services for unlawful business activities Interfere with other clients' service delivery.

5. Intellectual Property

5.1 Service Methodology: Our implementation methodologies, assessment frameworks, and proprietary business processes are owned by AI Bloom and protected by intellectual property laws. Clients receive implementation services but not ownership of our methodologies.

5.2 Client Data and Systems: You retain ownership of your business data and implemented AI systems. We may access client systems solely for the purpose of service delivery and with appropriate security measures.

5.3 Implementation Documentation: Documentation, training materials, and implementation guides provided during service delivery are licensed for your business use but remain AI Bloom intellectual property.

6. Professional Service Disclaimers

6.1 Business Results: While we strive to deliver the projected outcomes outlined in our assessments (including cost reductions and efficiency gains), actual results may vary based on implementation adherence, business-specific factors, and market conditions. We do not guarantee specific financial outcomes.

6.2 AI Tool Performance: We implement proven AI tools and platforms but do not control their ongoing development, availability, or performance. Changes to third-party AI platforms may affect implemented solutions.

6.3 Implementation Timeline: While we target 30-day implementation timelines for standard projects, actual timelines may vary based on business complexity, client responsiveness, and technical requirements.

7. Service Fees and Payment Terms

7.1 Fee Structure: Our professional services are provided based on the fee structure outlined in individual Service Agreements, typically including: Initial implementation fees ranging from $5,000 to $10,000+ based on scope, Monthly optimization and support fees starting at $2,000/month, and Additional fees for expanded implementations or specialized requirements

7.2 Payment Terms: Payment terms are specified in individual Service Agreements and are typically required prior to service commencement. Late payments may result in service suspension.

8. Limitation of Liability: To the fullest extent permitted by law, AI Bloom's total liability for any claim related to these Terms or our professional services will not exceed the total fees paid by the client in the 6 months preceding the claim. We are not liable for indirect, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

9. Indemnification: You agree to indemnify, defend, and hold harmless AI Bloom from any claims, losses, damages, or expenses arising from your use of implemented AI systems, violation of these Terms, or misuse of our professional services.

10. Confidentiality: Both parties agree to maintain confidentiality of proprietary business information shared during service delivery. This includes client business data, implementation strategies, and competitive information.

11. Third-Party AI Platforms and Tools: Our services involve implementing third-party AI tools and platforms. We are not responsible for the terms of service, privacy practices, or ongoing availability of these external platforms. Your use of implemented AI tools is subject to their respective terms of service.

13. Service Modifications: We may modify our service offerings, methodologies, or pricing at any time. Changes to active Service Agreements will be communicated with appropriate notice periods.

15.3 Professional Relationship: Our relationship is that of independent contractors. These Terms do not create a partnership, joint venture, or employment relationship.
